“Está nas mãos do ministro Aldir Guimarães Passarinho Júnior, do Superior Tribunal de Justiça, desde dezembro de 2008, um dos mais importantes casos de direito societário no Brasil: o do bônus de subscrição da Ambev, a quinta maior cervejaria do mundo. O valor dos honorários é de mais de R$ 100 milhões. Ainda não há previsão de julgamento do processo em que litigam a Ambev e a Romanche Investment Corporation, um fundo de investimentos sediado no exterior.
A Ambev é a maior indústria privada de bens de consumo do Brasil e a maior cervejaria da América Latina. A Companhia foi criada em 1º de julho de 1999, com a associação das cervejarias Brahma e Antarctica. A fusão foi aprovada pelo Conselho Administrativo de Defesa Econômica (Cade) em 30 de março de 2000.
Os advogados da Romanche são Carlos Alberto Direito Filho e Hélio Saboya Filho. A Ambev é defendida pelo escritório Barbosa, Müssnich, Aragão. A Romanche pretende adquirir ações pelo mesmo preço das opções concedidas aos funcionários da Ambev, como participação nos resultados. Caso a tese da Romanche seja vencedora, haverá um impacto bilionário para os acionistas da Ambev.
A segunda instância diverge sobre o assunto em dois estados. No Rio de Janeiro, a tese da Romanche prevaleceu. Em São Paulo, o Tribunal de Justiça deu ganho de causa para a Ambev.
Em outubro de 2007, o desembargador Antonio Eduardo Duarte, do Tribunal de Justiça do Rio de Janeiro, votou contra a Ambev. Ele colocou em dúvida até a posição da Comissão de Valores Mobiliários (CVM) em relação à Ambev.
O caso
A desavença surgiu a partir de uma cláusula de ajuste de preço que constava nos bônus de subscrição. Ela diz que, se houvesse aumento de capital público ou privado entre a data da emissão e a de vencimento, a um preço por ação inferior ao previsto no bônus, valeria este menor na subscrição, que aconteceria em 2003. Mas, às vésperas da subscrição, a companhia comunicou ao mercado que o aumento de capital feito pelo plano de opção de compra dos funcionários não seria levado em consideração. Foi aí que a briga judicial começou.
A companhia tenta evitar que os fundos de pensão Previ e Funcef, o fundo de investimentos Tempo Capital e a empresa Romanche Investments (dos ex-donos do Banco Pactual), possam aumentar sua participação na empresa pelo atalho de uma subscrição de bônus vencida há seis anos.
O receio da AmBev, caso perca a pendenga judicial, é que seus sócios minoritários possam questioná-la na Justiça. A derrota também faria com que novos acionistas minoritários passassem a ter ações ordinárias, com direito a voto na companhia. Vale lembrar que, desde que os belgas da Interbrew assumiram a Ambev, minoritários somente detém ações preferenciais.
A Ambev encara, por enquanto, cinco ações movidas na Justiça por investidores que querem o direito de subscrever os bônus e receber dividendos retroativos a 2003. Chegaram a ser seis ações. Mas, em 2006, foi feito um acordo milionário com o Credit Suisse First Boston. A empresa pagou US$ 52 milhões em dinheiro ao banco para que desistisse da ação e ainda se comprometeu a contratar seus serviços.
O caso do Credit Suisse correu na Justiça paulista. Em São Paulo, a empresa ainda litiga com o executivo Arnim Lore (ex-banco Central, Unibanco e Varig) e com o fundo de pensão Economus.
A Ambev está presente em 14 países e, com a aliança global firmada com a InBev, em 3 de março de 2004, a companhia passou a ter operações na América do Norte com a incorporação da Labatt canandense, tornando-se a Cervejaria das Américas. A Ambev atua em quase toda a América Latina por meio de operações próprias (Venezuela, Guatemala, Peru, Equador, Nicarágua, El Salvador e República Dominicana) e da associação com a Quilmes (Argentina, Uruguai, Paraguai, Bolívia e Chile), na qual detém hoje participação de 91,18%.”
